Terms of Service

1. Definitions
"We," "Us," "Our" refers to VitaFlow Care BV, a Belgian company.
"You," "Your" refers to the individual or entity accessing or using the Platform.
"Practitioner" refers to healthcare professionals who register to offer services through the Platform.
"Client" refers to individuals seeking to book appointments with Practitioners.
"User" refers to both Practitioners and Clients collectively.
"Services" refers to all features, tools, and functionalities provided by the Platform.
"Content" refers to all text, images, videos, data, and other materials uploaded or transmitted through the Platform.
2. Acceptance of Terms
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
You must be at least 18 years old. For Clients under 18, a parent or legal guardian must create and manage the account.
We may modify these Terms at any time with notification via email, platform notice, or in-app notification. Continued use constitutes acceptance.
3. Account Registration and Security
To use certain features, you must create an account with accurate, complete information.
For Practitioners: Valid professional credentials, identity verification, authorization to verify credentials, active professional liability insurance.
The Practitioner warrants that they hold a valid, unrevoked license to practice. The Practitioner agrees to notify VitaFlow Care immediately if their license is suspended, revoked, or altered in any way. Failure to do so will result in immediate termination of the account and indemnification of the Platform for any damages arising therefrom.
For Clients: Accurate contact information, responsibility for maintaining account confidentiality.
You are responsible for: Maintaining password confidentiality, all account activities, immediately notifying us of unauthorized use.
We may suspend or terminate your account if: You violate these Terms, provide false information, are inactive for over 12 months, or required by law.
4. Services and Platform Use
VitaFlow Care connects Practitioners with Clients, facilitates appointment scheduling, enables secure communication, and provides practice management tools.
IMPORTANT: VitaFlow Care is a technology platform only. We do NOT provide medical advice, diagnosis, or treatment. We do NOT employ or supervise Practitioners.
The relationship between Practitioner and Client is independent of VitaFlow Care. We are not responsible for the quality of services, accuracy of information, disputes, or cancellations.
For Practitioners - Permitted: Create accurate profiles, manage calendars, communicate with clients, use practice management tools.
For Practitioners - Prohibited: False professional information, practicing outside license scope, sharing client info without consent, soliciting clients off-platform.
For Clients - Permitted: Search and book appointments, communicate with practitioners, manage appointments and health information.
For Clients - Prohibited: False health information, booking in bad faith, harassing practitioners, sharing accounts.
5. Appointments and Bookings
Clients can book through the Platform with immediate confirmation.
Client cancellations: 48+ hours in advance typically no charge; within 48 hours may incur fees per Practitioner's policy.
No-shows may result in fees and repeated no-shows may lead to account suspension.
VitaFlow Care does NOT process payments for healthcare services. Practitioners and Clients arrange payment directly.
6. Waiting Lists
Practitioners may enable waiting lists. Clients can join for fully-booked Practitioners. Being on a waiting list does NOT guarantee availability.
Practitioners have sole discretion over management. Clients may remove themselves at any time. No fees for waiting list placement.
7. Communication and Messaging
GDPR-compliant messaging for appointment coordination, general questions, and non-urgent health-related communication.
DO NOT use Platform messaging for medical emergencies. Call 112 in Belgium or contact emergency services.
All communications must be professional and respectful. Harassment and abuse are prohibited.
8. Content and Intellectual Property
You retain ownership of content you upload (profiles, photos, messages, documents).
By uploading, you grant VitaFlow Care a worldwide, non-exclusive, royalty-free license to store, display, and transmit content for Services.
The Platform, design, code, and trademarks are owned by VitaFlow Care. You may not copy, modify, or reverse engineer.
9. Privacy and Data Protection
Our Privacy Policy is incorporated into these Terms. We comply fully with GDPR and Belgian data protection laws.
Health data is special category data under GDPR and receives enhanced protection.
10. Fees and Payment
Practitioners pay subscription fees according to their chosen plan.
Fees billed monthly or annually in advance, non-refundable except as required by law, subject to change with 60 days' notice.
All fees are exclusive of Belgian VAT (21%). You are responsible for applicable taxes.
Clients do NOT pay fees to VitaFlow Care. Healthcare service fees are paid directly to Practitioners.
11. Prohibited Conduct
General: Violate laws, infringe IP rights, transmit malware, attempt unauthorized access, scrape/bot, interfere with Platform, impersonate others.
Healthcare-specific: Practice without licensure, share confidential info without consent, discrimination, harassment, improper prescriptions.
Commercial: Sublicense/resell access, advertise third-party services, solicit off-platform to avoid fees.
12. Third-Party Services and Links
The Platform integrates with third-party services (calendars, payment processors). Your use is subject to their terms. Links to external sites do not imply endorsement.
13. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND.
We do NOT provide medical advice, guarantee Practitioner qualifications, or assume responsibility for healthcare services.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.
Nothing limits liability for death/injury caused by negligence, fraud, or violations of mandatory consumer protection laws.
14. Indemnification
You agree to indemnify VitaFlow Care from claims arising from your Platform use, Terms violations, law violations, or healthcare services provided/received.
15. Dispute Resolution
These Terms are governed by Belgian law.
Disputes subject to exclusive jurisdiction of Belgian courts.
Before filing claims, contact [email protected] to attempt informal resolution within 30 days.
To the extent permitted, disputes must be brought individually, not as class actions.
16. General Provisions
These Terms, Privacy Policy, and DPA constitute the entire agreement.
If any provision is invalid, remaining provisions remain in effect.
Our failure to enforce any provision does not waive future enforcement.
You may not assign without our consent. We may assign to successors.
We are not liable for delays due to causes beyond our control.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
